MR. MOHAMMED ALMUJAINI the lawyer is a co-founder of W.M Legal Consultancy LLC. MR. MOHAMMED ALMUJAINI holds a Master›s degree in private law, and began his career in 2008 working with the Office of Sheikh Mohammed bin Rashid Al Maktoum (Engineering Office). Then MR. MOHAMMED ALMUJAINA worked with the Securities and Commodities Authority.

 

The Securities and Commodities Authority (SCA) is the supreme regulator and controlling authority of financial markets in the United Arab Emirates.

 

MR. MOHAMMED ALMUJAINI rose through the ranks of the Securities and Commodities Authority until he became the head of the violations Department in 2014 in the Licensing, Supervision and Enforcement sector. This Department is responsible for law enforcement against the parties violating the Federal Companies Law and the Securities and Commodities Authority Law, as well as the commodities and regulations issued thereunder. This also includes the decisions and circulars issued by the licensed financial markets in the country. He was also awarded in the same year the «Best Administrative Award» in the Licensing, Supervision and Enforcement Sector from the Minister of Economy the Chairman of the Board of Directors of the Securities and Commodities Authority (SCA). In 2016, he served as the Head of the Department of Disclosure and Corporate Governance in the Legal Affairs and issuance Sector. This Sector directly oversees Joint-Stock Companies included listed in the SCA in UAE, its boards of directors, and auditors. He gained and provided much of his experience and efforts. The following is a summary of those works:

 
  • Supervising the works of the Department of Violations at the Securities and Commodities Authority along with its employees. The Department deals with the study of all the facts and violations and crimes committed in the financial markets in the State as well as the communications submitted to the Authority in this regard that are transferred by all departments of the Authority or financial markets.
  • Overseeing all the activities of the Disclosure and Corporate Governance Department, which is concerned with following up the companies› obligation to disclose the facts and data prescribed by law, and to ensure their compliance with the rules of corporate governance.
  • Heading the inspection team of public shareholding companies in accordance with Federal Law No. (2) for the year 2015 on commercial companies.
  • Supervising and attending the general assemblies of the listed companies and supervising the preparation of the reports in case of any suspicion of violations or crimes being committed.
  • Participating in commissions of inquiry into offenses and crimes committed in the financial markets of the State (whether brokers, listed companies, investors or entities subject to the supervision of the Financial and Commodities Authority). He was appointed during 2014 as the chairman of the committee charged with investigating the violations of trading in licensed financial market, which is subject to the supervision of the Securities and Commodities Authority.
  • Participating in investigation committees dealing with complaints concerning transactions in financial markets and commodities in the UAE.
  • Preparing and reviewing legal memoranda of violations and crimes committed in the financial markets of the State.
  • Representing the Authority before the police and judicial authorities in the complaints submitted by the Authority regarding certain incidents, offenses and crimes committed in the financial markets of the State.
  • Submitting some proposals for the amendment of some of the legal articles issued to implement Federal Law No. (4) for the year 2000 on the matter of the Securities and Commodities Authority.
  • Training some of the applicants to the Securities and Commodities Authority both inside and outside the country.
  • Participating in the development and implementation of the general strategy of the Securities and Commodities Authority.
 

During MR. MOHAMMED ALMUJAINI period of work for the Securities and Commodities Authority (SCA), he oversaw a team of 15 employees and contributed to the establishment of a contact center with the Engineering Office. He also participated in the follow-up department at the Securities and Commodities Authority (SCA).

 

MR. MOHAMMED ALMUJAINI obtained the status of judicial officer in crimes of financial markets from the Minister of Justice during his tenure with the Securities and Commodities Authority.

 

MR. MOHAMMED ALMUJAINI graduated from several specialized programs such as the Human Resources Support Program for Real Estate Settlement (Share) and

 

the Financial Control Program for Future Leaders.

 

STUDIES AND RESEARCH

 

MR. MOHAMMED ALMUJAINI published many legal studies and research papers, such as a legal research entitled «Effects of the Investment Management Contract in accordance with the UAE Securities and Commodities Authority for the year 2000».
